When is it due?
Every Sdn Bhd must lodge its Annual Return with SSM within 30 days of the anniversary of its incorporation date. This is separate from the audited financial statements, which have their own lodgement timeline.
What it contains
The Annual Return is a snapshot of the company: registered address, directors, secretary, shareholders, share capital, and indebtedness. It must reflect the position as at the anniversary date.
Penalties for late filing
Late lodgement attracts compound penalties under the Companies Act 2016 — up to RM50,000 and continuing daily fines. Persistent default can lead to strike-off by SSM and director disqualification.
