Closing a Company: Strike-Off vs. MVL

January 20265 min read

Which closure route is right for your dormant Sdn Bhd?

Strike-off (Section 550)

The fastest and cheapest route for a dormant company with no assets, no liabilities, and no ongoing litigation. SSM removes the company from the register on application. ASKCO handles the full strike-off for RM1,800.

Members' Voluntary Liquidation (MVL)

Used when the company is solvent but has assets to distribute. A licensed liquidator is appointed, assets realised, creditors paid, and surplus returned to members. More formal, more expensive, but the proper route when assets are involved.

What disqualifies a strike-off

Outstanding tax, unpaid creditors, undistributed assets, or open court cases. Trying to strike off in these situations almost always fails and wastes time.

Before you decide

Sit down with us for a short review. Often a clean strike-off is possible after a few tidy-up resolutions and a final tax clearance — we'll tell you honestly which route fits.
